The Superintendency of Corporate Relations of the Securities and Exchange Commission (CVM) opened another accusation process related to appointments of professionals considered ineligible, made by the Union, to the board of directors of Petrobras.
In addition to the Union, the controlling shareholder of the oil company, two nominees for the collegiate are accused, both holding secretariats in the Ministry of Mines and Energy (MME): Efrain Pereira da Cruz, executive secretary, and Pietro Adamo Sampaio Mendes, secretary of Oil, Gas Natural and Biofuels.
Due to the positions they hold at the MME, the two were considered ineligible by Petrobras’ governance, as there would be a conflict of interest. At the ministry, they participate in defining public policies in the sector in which Petrobras operates.
The CVM’s technical area even spoke out against Mendes’ appointment in April. Even so, the executive was sworn in as president of the board of directors. The CVM letter on the topic does not mention Cruz, whose name appeared later. At the time, the nominee was Sérgio Machado Rezende, former Minister of Science and Technology from 2005 to 2010, during the Lula government.
Initially, the Superintendency of Business Relations opened an administrative analysis procedure, which resulted in an administrative sanctioning process, that is, accusation.
The summons of the accused began on the 19th, according to the CVM systems. The accusatory piece was signed at the end of June.
It is the second process of its kind opened at the municipality this year. Last year, the Jair Bolsonaro government nominated two other names considered ineligible for the Petrobras board of directors: Jonathas de Castro and Ricardo Soriano de Alencar. Castro was executive secretary of the Civil House and Alencar headed the Attorney General’s Office of the National Treasury.
In the same way, an administrative analysis procedure was first opened, then converted into an administrative sanctioning process. The indictment was signed in March of this year. The summons of the accused took place in June. In July, the Union presented its defense. Castro and Alencar presented, on the 13th, proposals for a compromise.
The process should advance in the coming weeks, as, last Tuesday, it was drawn at a meeting of the CVM board. For the rapporteur, director Otto Lobo was selected.
